Panasonic Holdings Corporation (“Panasonic”) filed a design patent infringement complaint against Getac Holdings Corporation (the“Company”)'s subsidiaries Getac Technology Corporation and Getac, Inc. (collectively, “Getac”) in the United States District Court for the Central District of California (Case No. 8:19-cv-01118-DOC-DFM) on June 5, 2019
(the“Litigation”). Now, the Litigation is in the United States Court of Appeals for the Federal Circuit (Docket No. 2023-1148).
6.Handling procedure: Now Getac and Panasonic have entered a settlement agreement with confidentiality clauses. The parties will fulfill the terms and conditions in this settlement agreement and jointly dismiss the currently-pending Litigation at the Courts in accordance with the settlement agreement. The details of the settlement are confidential and will not be
disclosed pursuant to the settlement agreement.
7.Impact on the Company’s finance and business and projected amount:
A.The amount of damage awarded by the Jury of the United States District Court for the Central District of California has been fully accrued by the Company and its subsidiaries Getac Technology Corporation and Getac, Inc. in the consolidated financial statement for the second quarter of 2022.
B.The settlement amount and the terms and conditions of this settlement agreement are confidential, and there has been no additional impact on the Company and its subsidiaries’ financial conditions and business operations.
